The securities of Promesa Limited (to be renamed Thred Limited) will be reinstated to official quotation as from 10 am AEST on Friday, 17 June 2016 following the Company's compliance with listing rule 11.1.3 and chapters 1 and 2 of the ASX Listing Rules. 440,498,679 ordinary shares fully paid

The company is pleased to announce that its Public Offer has closed, along with the included Priority Offer, in accordance with the offer timetable announced in the replacement prospectus dated 16 May 2016. The offer was of up to 200,000,000 Shares at an issue price of $0.05 per Share to raise up to $10,000,000 with a minimum subscription of $5,000,000. The offer closed oversubscribed. All shares have been allotted and the Public Offer will result in the issue of 127,020,235 shares at an issue price of $0.05 in the Company, raising $6,351,011.75.

The company issues a replacement prospectus for the public offer of 100 million Shares at an issue price of $0.05 per Share to raise the minimum subscription amount of $5 million. Oversubscriptions of up to a further 100 million Shares at an issue price of $0.05 per Share to raise up to a further $5 million may be accepted (Public Offer). The Public Offer includes a priority offer of up to 20 million Shares at an issue price of $0.05 per Share to existing Shareholders.

The company advises that ASX has granted the Company a waiver from listing rule 14.7 with regard to the allowed period of time in which to issue some of the securities approved by shareholders at the General Meeting on 16 October 2015. ASX has granted the waiver to the extent necessary to permit the Company to issue the securities required to complete the Thred transaction no later than 30 June 2016 and otherwise on the same terms as approved by shareholders on 16 October 2015.

Promesa Ltd is pleased to append the reviewed Company Accounts to 31 December 2015. The finalised Company Accounts will now allow Promesa to complete the Prospectus it has been preparing in order to settle the proposed acquisition of Thredit Ltd. Promesa expects to lodge early in March 2016. Promesa Ltd ("˜Promesa "˜ or the "˜Company') is pleased to be able to give its shareholders and the market an update. Promesa advises that work continues on its proposed acquisition of Thredit Ltd (Thred). Members of the Company approved in general meeting on 16 October all of the essential resolutions which allow the transaction to settle and complete. As the acquisition of Thred constitutes a change in nature and scale of activities of the Company, trading in its securities is currently suspended, and will remain so until the Company completes the process of recompliance with Chapters 1 and 2 of the Listing Rules.
